Chemical Maker Arkema in Talks to Buy Total’s Adhesive Unit

《Chemical Maker Arkema in Talks to Buy Total’s Adhesive Unit》:

LONDON – The specialty chemical maker Arkema said on Friday that it had offered to buy Bostik, one of the world’s largest adhesive makers, from the French oil giant Total in a bid that values the unit at 1.74 billion euros, or about $2.2 billion.

Total has agreed to enter into exclusive talks with Arkema, France’s largest chemical maker and a former Total unit. Arkema was spun out of Total in 2006.

The deal, if consummated, would bolster Arkema’s high performance materials segment, which would account for about 42 percent of its total sales following the acquisition. Those products include polymers used in chemical engineering, oil and gas extraction and the water filtration industries.

The combined company would have sales of about €7.6 billion following the transaction.

Thierry Le Hénaff, the Arkema chairman and chief executive, citedseveral benefits in the deal, including the businesses’ brands and technology and “the quality of Bostik’s management and teams.”

In a news release, Patrick Pouyanné, president of Total’s refining and chemicals business, called a combination of the two companies “a natural next step” following Arkema’s spin off eight years ago.

Bostik is one of the world’s largest makers of glues and other adhesives. It had annual sales of €1.53 billion and employs about 4,900 people in more than 40 countries. Bostik has been affiliated with Total since 1990.

Arkema posted sales of €6.1 billion in 2013 and employs about 14,000 people at 90 facilities worldwide.
